Matthew D. Klaiber advises clients on a broad range of business-related matters at all stages of the business lifecycle, focusing particularly on mergers, acquisitions and other corporate transactions.

Over the last several years, Matt has worked with clients on a variety of public and private mergers, stock and asset acquisitions and dispositions, corporate restructurings and other commercial and business-related transactions.

Recent representative transactions include:

  • Sale of OGSystems, LLC, an innovative solutions provider with advanced technologies in geospatial intelligence, big data analytics and insider and counterintelligence threats, to Parsons Government Services Inc.

  • Represented Applied Insight Holdings, LLC, a cyber, DevOps and data analytics provider to the Intelligence Community and portfolio company of The Acacia Group, in connection with multiple acquisitions, including its acquisition of Intelligent Decisions, LLC, Applied Technology Group, LLC, Organizational Strategies, LLC and Stratus Solutions, LLC.

  • Acquisition of Southern Cross Engineering by Entegra Systems LLC.

  • Represented shareholders of Praxis Engineering Holdings, Inc. in connection with the sale of Praxis to CSRA Inc. (NYSE: CSRA) for $235 million.

  • Management-led recapitalization of a government contractor providing acquisition program management capabilities to the Federal government.

  • Represented private equity fund in connection with its investment into a leading provider of training solutions and intelligence analysis to DSS, CENTCOM and SOCOM.

  • Merger of Aquilent, a provider of digital, agile, DevOps and cloud capabilities for the Federal government, to Booz Allen Hamilton (NYSE: BAH) for $250 million.

  • Divestiture and novation of Aquilent’s SeaPort-e business unit to Octo Consulting Group.

  • Represented management team of EOIR Technologies, Inc., a provider of advanced solutions in cloud computing, big data analytics and C4ISR, in sale to Arlington Capital Partners.

  • Sale of Prime Solutions LLC, a leading provider of computer network operations (CNO) and other cyber warfare services within the Intelligence Community, to Altamira Technologies Corporation.

  • Sale of Wavefront Technologies, Inc., a specialized engineering services firm that provides systems and network engineering, software development and analytical services for cyber and mission-focused programs within the Intelligence Community, to Ball Aerospace & Technologies Corp., a subsidiary of Ball Corporation (NYSE: BLL).

  • Sale of Urban Robotics, Inc., a provider of hardware and software solutions for 3D intelligence, surveillance and reconnaissance (ISR), remote sensing and geospatial applications, to OGSystems, LLC.

  • Sale of Agency Consulting Group (ACG), a provider of highly technical solutions in the areas of cloud computing analytics, critical systems infrastructure and specialized mission solutions for the National Security Agency, to Vistronix, LLC, a portfolio company of Enlightenment Capital.

  • Sale of Ventura Solutions, Inc., a hardware and software engineering company that provides custom solutions for the Intelligence Community, to The Boeing Company (NYSE: BA).

  • Recapitalization of OGSystems, LLC, an industry leader in geospatial intelligence, cyber and big data analytics, in partnership with its founders and General Catalyst Partners.

  • Sale of Industry Retail Group, Inc., a managed service provider focusing on information technology and other broadband-enabled networks, to Vector Intelligent Solutions, LLC, a subsidiary of Vector Security, Inc.

  • Divestiture of OGSystems, LLC's TASER business to Ball Aerospace & Technologies Corp., a subsidiary of Ball Corporation (NYSE: BLL).

  • Sale of ALTA Systems, Inc., an information technology company providing healthcare IT support to the U.S. Government, to ManTech International Corporation (NASDAQ: MANT).

  • Sale of White Cliffs Consulting, LLC, a recognized leader in the digital discovery domain that provides high-end technical analysis and engineering to the entire end-to-end Signals Intelligence (SIGINT) and cyber capture, sort and analysis process, to Novetta Solutions, LLC, a portfolio company of Arlington Capital Partners.

  • Sale of Special Operations Technology, Inc., an information technology and professional services company that provides integrated commercial-off-the-shelf-based intelligence and operational solutions to U.S. law enforcement agencies, to Ultra Electronics Holdings plc (LSE: ULE).

  • Represented management team in the sale of Midasco, LLC, a specialty infrastructure contractor that provides intelligent transportation system services, to Actividades de Construcción y Servicios, S.A. (MAD: ACS).

  • Merger of St. Mary’s Hospital of St. Mary’s County into MedStar Health, Inc.
     
  • Sale of Zytel Corporation, a provider of cyber security systems and expertise in support of the U.S. intelligence, counterterrorism and cyber warfare missions, to Sotera Defense Solutions, Inc. (f/k/a Global Defense Technology & Systems, Inc. (NASDAQ: GTEC)).

  • Management buyout of a leading provider of professional preconstruction and construction management services in the Mid-Atlantic region.

  • Merger of i2S, Inc., an information technology, engineering and professional services contractor for the Intelligence Community, into Camber Corporation.

  • Acquisition of one of the leading destination management companies in North America.

  • Restructuring of a full-service software development company that provides program management, software development and testing, training and advanced analytic solutions for the Intelligence Community.

  • Acquisition of a provider of advanced technology solutions addressing critical power and energy management needs from Satcon Technology Corporation (NASDAQ: SATC). 

In addition to his M&A experience, Matt routinely counsels clients on the structuring and formation of new business ventures; prepares and reviews various contracts (e.g., joint venture, financing, buy-sell, employment/consulting, executive and management, non-compete, subcontractor/teaming); advises businesses on operational, management and corporate governance issues; and provides general legal counsel to clients seeking to grow their businesses.

Matt received his B.A. degree, with honors, from The Johns Hopkins University and his J.D. degree, cum laude, from the University of Maryland School of Law, where he was the Executive Articles Editor for The Maryland Law Review.

In 2011, 2012, 2013, 2014, 2015, 2016, 2017, 2018 and 2019, Matt was named as a Super Lawyers® “Rising Star” in the area of Mergers and Acquisitions.  Matt was also selected as one of the Baltimore Business Journal’s “40 Under 40” in 2014 and was chosen as an Emerging Leader in mergers and acquisitions by The M&A Advisor in 2016.
