Jonathan Stoian is counsel in the Transactional Finance Practice where he handles a wide-variety of corporate finance, business transactions (mergers and acquisitions/private equity) and capital markets matters.
Jonathan drafts, negotiates and advises U.S. and non-U.S. banks and other institutional lenders in connection with senior secured and mezzanine loans and other financings, restructurings and workouts as well as corporations and other business entities as borrowers in these transactions.
He works on matters ranging from the formation of joint ventures, factoring arrangements, mergers and acquisitions, asset purchases, equipment leasing, registered and unregistered securities transactions and restructurings. He also drafts and coordinates filings of quarterly and annual reports, universal shelf registration statements, prospectus supplements and current reports for multiple issuers listed on the NYSE and NASDAQ.
Before joining Miles & Stockbridge, Jonathan was an Associate at Seward & Kissel LLP, where he primarily focused on maritime and transportation finance and capital markets matters.
